Terms and Conditions


Course Fees

All course fees are shown exclusive of VAT.

Fees for courses for which there is an accredited BCS examination will be shown inclusive of the exam fee unless otherwise stated.

Terms of Payment

Fees shall be due as follows:

1. Training services for training events: All fees to be paid in full no later than 15 business days prior to the start of the booked training course event.

2. Consultancy services: Capiro will invoice at the end of the week in which the consultancy work was carried out. Payment is due no later than 1 month from the date of receipt of Capiro’s invoice. If the consultancy is for an extended period, the applicable terms will be as for the supply of interim staff, see item (3) below.

3. Supply of interim staff: Capiro will invoice at intervals to be agreed with the client but no less frequently than once per month. Payment is due no later than 1 month from the date of receipt of Capiro’s invoice.

Cancellations and Rescheduling

Cancellations and rescheduling no later than 15 full business days prior to the start date of agreement:

Training services: A client shall be able to cancel or reschedule a booked training course event without penalty if they do so no later than 15 business days prior to the start date of the booked training course event. Please note that for residential courses that involve a stay at a hotel, the hotel will normally have it's own terms for cancellation; we will advice you of these at the time of booking. For cancellation or rescheduling of on-site training courses please see On Site Courses below.

Consultancy services: A client shall be able to cancel or reschedule an agreement for consultancy services without penalty if they do so no later than 15 business days prior to the start date of the agreement. If a client wishes any work to be commenced in advance of the agreed start date they must agree liability for payment for this work in the event of the subsequent cancellation of the agreement even if this cancellation occurs no later than 15 business days prior to the start of the agreement.

Supply of interim staff: A client shall be able to cancel or reschedule an agreement for services of interim staff without penalty if they do so no later than 15 business days prior to the start date of the supply of the interim staff. If a client wishes any work to be commenced in advance of the agreed start date they must agree liability for payment of this work in the event of the subsequent cancellation of the agreement even if this cancellation occurs no later than 15 business days prior to the start of the agreement.

Cancellations less than 15 days prior to the start date of an agreement or course booking:

If the cancellation occurs less than 15 business days prior to start of a confirmed agreement or course booking the client shall be liable for the following cancellation fees:

14 – 11 business days before the start date of the agreement or course booking: 50% of course fee or 50 % of the first month’s fee for consultancy or interim services as applicable.

10 – 6 business days before the start date of the agreement or course booking: 75% of course fee or 75 % of the first month’s fee for consultancy or interim services as applicable.

5 – 0 business days before the start date of the agreement or course booking: 100% of course fee or 100 % of the first month’s fee for consultancy or interim services as applicable.

Rescheduling less than 15 business days prior to the start date of an agreement or course booking:

14 – 11 business days before the start date of the agreement or course booking: 25% of course fee or 25 % of the first month’s fee for consultancy or interim services as applicable.

10 – 6 business days before the start date of the agreement or course booking: 50% of course fee or 50 % of the first month’s fee for consultancy or interim services as applicable.

5 – 0 business days before the start date of the agreement or course booking: 100% of course fee or 100 % of the first month’s fee for consultancy or interim services as applicable.

Joining Instructions for publicly scheduled training events

Joining instructions will be sent to clients with confirmed fully paid bookings two weeks prior to the start of the training course. Please ensure that any travel or accommodation that you may book prior to receipt of the joining instructions is done so on a fully refundable basis.

Personal Belongings during publicly scheduled training events

Personal belongings and items belonging to or in the possession of the Customer or Delegate brought onto Capiro Ltd training courses are the sole responsibility of the owner and Capiro Ltd accepts no responsibility for such items.


On-Site Training Events

(Training events run for a single client at the client's site or at a site arranged by the client)

Choice of venue

The client will be responsible for organising the event using a venue of their choice.

Training Room Layout and Required Equipment

The training room must be equipped with tables and chairs arranged in a ‘U-shape’ or in cabaret form. A table or lectern must be provided conveniently close to the open end of the U-shape of sufficient size to hold a laptop computer (where necessary) and lecturer notes. The room should be equipped with a means of projection to be agreed between the Client and Capiro Ltd prior to commencement of the course. If projection is to be through a laptop and a free standing projector, the room must be equipped with a suitable surface onto which the slide images can be projected, e.g. a free standing or fixed projector screen. The room should also be equipped with two A1 flip-charts or a White-board. Refreshments (Tea/Coffee) and Washroom facilities should be available nearby.
Course Delivery

Capiro Ltd will deliver the course content as described in our quotation.

Transfer of Training Venue

 Capiro must be informed of decisions to transfer location. Although this will not normally be an issue there may be cases where Capiro has in good faith entered into agreements with hotels and travel companies and that these agreements have entered a period where monies paid by Capiro are no longer refundable from the hotel or travel company involved. There may also be situations where the price agreed with the client has been based on the supply of a lecturer who lives locally to the agreed training venue. In such circumstances Capiro shall be compensated by the client for any additional expenses incurred due to the transfer of the training venue.

 

Instructor led Online Training Events

(Instructor led training events that are run online typically using Citrix GoToTraining)

Client Equipment

It is the responsibility of the client to ensure that they have adequate equipment to participate in instructor led online training events. We recommend high quality USB microphone and headphones and a high speed internet link, preferably fibre optic. In any or all events the client is responsible for ensuring that their equipment is adequate for the purpose and if in any doubt are recommended to take professional advice. The client must ensure that they have tested their equipment prior to the training session. Capiro cannot accept any responsibility for any failures of a client's communications equipment during a training session. Please note that the client does not need to obtain anything from Citrix to participate in our training events.

VAT

VAT at the currently applicable rate will be applied to the cost of all services.


Expenses

Expenses may be liable in the following circumstances:

Training courses and consultancy at client site: The client will be liable to pay for accommodation, travel and meals. The costs shall be limited to the client’s standard allowances for their own staff. By agreement, where the consultant lives close to the client site, no expenses will be due.

Supply of interim staff: Expenses are liable only with the special agreement of the client.

Note that training course fees are always shown exclusive of expenses such as travel, accommodation and meals.


Copyright and Intellectual Property Rights

Copyright and all intellectual property rights for all Course Materials shall remain the property of Capiro Ltd. The Customer agrees not to reproduce, sell, hire, photograph or copy Course Materials (in whole or in part) and not to use such materials except for the purposes of post course reference or as specifically agreed with Capiro Ltd.
